MEMORANDUM OF AGREEMENT

By purchasing the VISION Full Kajabi Platform Package, the purchaser agrees to the following terms and conditions:

This serves to confirm that The Purchaser (hereinafter “The Client”) is entering into a business consultation relationship with IGNITE your Business LTD, represented by Alexandra Marostica (hereinafter “The Consultant”).  In doing so, both parties agree to the terms and conditions laid out below.

TERMS AND CONDITIONS

The Services

The Consultant agrees to deliver the following services:

• To set up The Client’s  Kajabi website, which includes:
  • Domain setup
  • Email Setup
  • Loading of custom brand elements (i.e. logo, favicon, colours & fonts)
  • Setup of default system pages with custom branding
  • Setup payment gateway 
• To set up and build The Client’s front-end sales funnel on The Client’s Kajabi site following one of the proven VDA funnel structures (either the Webinar Funnel Structure or the VSL Funnel Structure), which includes:.
  • The VDA Kajabi Funnel Template customized with The Client’s  branding, The Client’s text, and The Client’s images.
  • The accompanying email campaign, and all integrations and automations
  • 2 reviews 
• To set up The Client’s course structure and load The Client’s  course content on The Client’s Kajabi site, which includes:
  
  • Full course setup with The Client’s  branding.
  • Setup of all automations, drip sequences, and live sessions. 
  • If The Client is creating the course live, The Consultant will create the course structure, load the content for the first lesson ahead of the course opening, and then load the remaining content at The Client’s pace as the lessons progress. 

Term of Agreement

The Services will commence upon purchase of the product (VDA Full Kajabi Platform Package) and will continue until the project / work is completed; or as terminated pursuant to this Agreement. 

Website Content

• The Client agrees to provide all necessary copywriting and media, as well as visual branding collateral.
• Should The Client be unable to provide all or part of the content required, The Consultant can write the copy and source / create media, if The Client prefers.
• Copywriting, graphic design, image processing, video and audio creation, and any other content creation will be billed additionally and separately, in agreement with The Client at a rate of $45/hour.
• The Consultant will not be held liable for late delivery of the final website due to The Client not providing content on time.

Expenses

The Consultant shall assume responsibility for all reasonable expenses necessary to effectively provide its Services under this Agreement.  Should The Client agree to pay for any other expenses, these expenses shall be first approved by The Client or by any other person The Client may choose to designate. 

Kajabi Platform

• The project does not include the Kajabi platform.
• The Client will be responsible for purchasing a Kajabi website package and providing The Consultant with access to the site.

Services

The Consultant shall perform the Services to the best of its ability and to a standard of reasonable professionalism within the industry of the Services to be provided.  Any personnel provided by The Consultant shall perform their work to the same professional standard. 

Time of Services

• It shall be a material term of this Agreement that The Consultant shall complete the Services within the time period as agreed to by the parties.
• The services will be delivered within 15 working days of The Client providing all visual branding collateral, copywriting, and media.
• If The Client is creating a course to be delivered live, then the above timeline applies to the creation of the course structure and the loading of the first lesson’s content.  The remaining content, as well as any content for the community user engagement sequence created for the course, will be loaded as the lessons progress, which needs to be provided by The Client to The Consultant no less than three working days prior to a lesson opening to give The Consultant sufficient time to load the content.
• Based on the agreed timeline, The Consultant shall set aside the required time for the completion of the Services for The Client.  
• Should The Consultant be unable to complete the Services within the required time due to delays by The Client, additional time will be set aside for completion of the Services at a rate of $45/hour, billed additionally and separately, and in agreement with The Client.
• For the purposes of this agreement,  a Working Day is any day from Monday to Friday between the hours 09:00 UTC to 17:00 UTC.

Conflicts

The Consultant shall not be restricted in offering its services to other individuals or businesses while the Services are being offered, unless doing so would be in conflict with the interests of The Client.

Rules and Regulations

The Consultant and its employees, personnel, and contractors shall always comply with any necessary laws, codes, and regulations, as well as the rules and regulations of The Client, so long as The Client has made The Consultant reasonably aware of these rules and regulations.  

Confidentiality

During the duration of this agreement and subsequent thereto, The Consultant shall keep confidential, shall not make use of, whether directly or indirectly, and shall not disclose any of the business, technical, tactical, or financial information that The Consultant may receive from The Client.  These confidentiality obligations shall survive the termination of this agreement, and The Consultant shall at no time disclose any such information to an unauthorized party.

Termination by Client or Consultant without Notice

The Client or The Consultant may terminate this Agreement (“The Terminating Party”) at any time in the event that either of the Parties breaches any part of this Agreement (“The Breaching Party”), so long as prior written notice is given by The Terminating Party and the breach is not remedied by The Breaching Party within 30 Business Days, defined as any day that is not a Saturday, Sunday, or Statutory Holiday in the jurisdiction set forth in the Governing Law Clause herein. 

Assignment

This Agreement shall be to the benefit of, and binding upon, the successors and permitted assigns of The Client and The Consultant. The Consultant may not assign its rights or obligations under this Agreement without the prior written consent of The Client.

Amendments

For any amendment to this Agreement to be valid or binding, it must be in writing and signed by both parties.

Severability

Each of the paragraphs contained in this Agreement is distinct and severable, and a declaration of invalidity, illegality, or unenforceability of any provision or part by a court of competent jurisdiction shall not affect the validity or enforceability of any other paragraph of this Agreement.

Governing Law

This Agreement shall be governed by and constructed in accordance with the laws of the United Kingdom.
